An open-end promise of daily liquidity is a liability. The assets must be managed against it, not merely selected on conviction.

01 / THESIS
The argument
The Woodford Equity Income Fund combined daily dealing with growing exposure to assets that could not be sold quickly without price impact. Redemptions were initially met by selling the most liquid positions. That solved the immediate cash problem while leaving the remaining portfolio more concentrated in harder-to-sell assets.
This is an endogenous liquidity failure. Outflows did not merely reveal the mismatch; the method used to fund them worsened it. By April 2019, only 8% of NAV sat in the FCA letter’s one-to-seven-day liquidity bucket, down from 21% in June 2018, while the two slowest buckets represented 65%. Dealing was suspended in June 2019 when redemptions could not be met immediately.

Liquidity waterfall
Selling liquid assets first preserves marks in illiquid positions but raises their weight in the residual portfolio.
First-mover incentive
When redemption value does not fully reflect liquidation cost, early redeemers can transfer that cost to remaining investors.

The same security can be tolerable in permanent capital and destabilizing in a daily-dealing vehicle.

What survives the case
The case separates investment conviction from fiduciary portfolio construction. A manager may sincerely prefer the assets retained after each redemption and still make the fund structurally weaker. The liability side of the vehicle is part of the investment thesis.
The correct control is forward liquidity under stress—not a static percentage labeled “unquoted.” That means estimating sale time, price impact, correlated redemptions, settlement, and the way each sale changes the next day’s portfolio.
EVIDENTIARY LIMIT
The FCA’s 2025 decision notice was subject to the procedures and appeal rights described by the regulator. This brief focuses on liquidity mechanics, not a complete adjudication of individual responsibility.
